1. Accounts and eligibility
To use the Services you must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Accounts are created via email/password or supported social sign-in providers (currently Google and Apple). You agree to provide accurate information and to keep it up to date. Organization owners and administrators may invite, remove, and change the roles of additional users; each such user must also agree to these Terms.
2. Acceptable use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third party right;
- Upload or transmit content that is unlawful, defamatory, infringing, harassing, hateful, or that contains malware or other harmful code;
- Send unsolicited or unlawful commercial or marketing messages, including any communications that violate the TCPA, CAN-SPAM, CASL, or similar laws;
- Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services;
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services, except to the extent permitted by law;
- Use the Services to build or benchmark a competing product, or to resell them without our prior written consent;
- Interfere with or disrupt the integrity, performance, or security of the Services;
- Use AI-assisted features to generate content that impersonates a real person or organization without authorization, or that is intended to deceive customers.
You are solely responsible for the customer data, employee data, photos, measurements, marketing content, and other information that you upload or generate through the Services (collectively, “Your Content”), and for obtaining any consents required by law to collect and process that information (including, where applicable, consent to be contacted by SMS or email).
3. Subscriptions, billing, and taxes
Access to paid features requires a subscription. Fees, billing frequency, included quotas, and any usage-based charges are described at signup or in an order form. By providing a payment method, you authorize MeasureIQ (through our payment processor, Stripe) to charge that method for all fees due under your plan.
Subscriptions renew automatically at the end of each billing period unless canceled before renewal. Except as required by law, fees are non-refundable, and partial periods are not refunded upon cancellation. You are responsible for all taxes, duties, and similar governmental assessments associated with your purchase, other than taxes based on our net income.
We may change plans, features, and pricing on prospective notice. If a price change would affect your active subscription, we will notify you before it takes effect and give you an opportunity to cancel prior to renewal.
4. Your Content and license to MeasureIQ
As between you and MeasureIQ, you retain all rights in Your Content. You grant MeasureIQ a worldwide, non-exclusive, royalty-free license to host, store, transmit, reproduce, display, modify (only as needed to render the Services and produce derived formats such as PDFs, thumbnails, and enrichments), and create secure backups of Your Content, solely to provide and improve the Services and to comply with law.
If you connect a third-party integration (for example, Meta/Facebook Pages, Instagram, LinkedIn, TikTok, X, YouTube, Google Business Profile, Google Maps, Stripe, or Twilio), you authorize MeasureIQ to send and receive information with that integration on your behalf, subject to that provider’s own terms and to any scopes you approve during OAuth.
5. Contractor Customer data
When a Contractor uses the Services to process information about its own end customers (“Contractor Customers”), the Contractor is the controller of that information and MeasureIQ acts as its processor. The Contractor is responsible for providing any required notices to Contractor Customers, for obtaining any necessary consents (including SMS/email consent), and for responding to Contractor Customer requests regarding their information. MeasureIQ will reasonably assist Contractors in fulfilling such requests, including through the Data Deletion workflow.
6. Property intelligence and data usage
MeasureIQ provides property intelligence to assist contractors with estimating, planning, scheduling, reporting, and project management. Property intelligence may include measurements, property characteristics, parcel information, contractor-created data, project history, and publicly available mapping information.
MeasureIQ is not a surveillance platform. MeasureIQ does not monitor properties in real time, access private security cameras, record audio or video from private property, collect information from inside homes or buildings, track homeowners, perform government surveillance, or sell homeowner information.
Property information may be generated from one or more of the following sources:
- Publicly available aerial imagery;
- Public parcel records;
- GIS information;
- Government property records;
- Satellite imagery;
- Contractor-created measurements;
- User-entered project information;
- Third-party mapping providers;
- Customer-provided information.
Measurements generated inside MeasureIQ are estimates unless otherwise verified by the user. You remain responsible for confirming measurements before purchasing materials or beginning construction. Property intelligence is intended to assist business operations; measurements, parcel information, and mapping data should be verified before construction, engineering, permitting, surveying, or legal use. MeasureIQ is not a licensed surveying platform.
Contractors own the customer information they enter into MeasureIQ. MeasureIQ does not claim ownership of customer lists, estimates, invoices, photographs, notes, or contractor-created measurements, and users may export their data at any time where supported.
The Services are designed exclusively for legitimate business purposes. You agree not to use property intelligence for harassment, stalking, surveillance, discrimination, or any unlawful activity. For a plain-language explanation, see Property Intelligence & Data Usage.
7. AI-assisted features
The Services include AI-assisted features (including the MeasureIQ AI Business Assistant) that generate recommendations, draft communications, summarize records, and execute approved actions against your MeasureIQ data. AI output may be incomplete, inaccurate, or otherwise inappropriate; you are responsible for reviewing it before relying on it, sending it to a customer, or taking a business action. AI features are provided “as is,” and use of them is subject to the acceptable-use restrictions in these Terms.
8. Intellectual property
The Services, including all software, models, designs, documentation, and MeasureIQ trademarks, are and remain the exclusive property of MeasureIQ and its licensors, protected by intellectual property laws. Nothing in these Terms transfers any MeasureIQ intellectual property to you other than the limited right to use the Services in accordance with these Terms. Feedback you provide about the Services may be used by MeasureIQ without restriction or compensation.
9. Third-party services
The Services interoperate with third-party services (for example, Stripe for payments; Google and Apple for authentication; Google Maps, Apple MapKit, OpenStreetMap, and county GIS for mapping and parcel data; Twilio for SMS/MMS; Resend and other email providers; OpenAI and other model providers via the Lovable AI Gateway; and Meta, Instagram, LinkedIn, TikTok, X, YouTube, and Google Business Profile for social publishing). Your use of those third-party services is governed by their own terms and privacy policies. MeasureIQ is not responsible for third-party services and does not warrant their availability or performance.
10. Confidentiality and security
Each party will protect the other’s Confidential Information using at least the same degree of care it uses to protect its own confidential information, and will not use Confidential Information except to perform under these Terms. Your Content and non-public information about the Services are Confidential Information.
11. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEASUREIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MEASUREIQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY DATA (INCLUDING PROPERTY, MEASUREMENT, PARCEL, WEATHER, OR AI-GENERATED CONTENT) WILL BE ACCURATE OR COMPLETE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEASUREIQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MEASUREIQ’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO MEASUREIQ FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
13. Indemnification
You will defend, indemnify, and hold harmless MeasureIQ and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or relating to (a) Your Content, (b) your use of the Services in violation of these Terms or applicable law, (c) your infringement or misappropriation of any third-party right, or (d) any dispute between you and a Contractor Customer.
14. Suspension and termination
You may cancel your subscription at any time from your account settings. We may suspend or terminate the Services or your access to them, in whole or in part, if you materially breach these Terms, if required by law, or to protect the security or integrity of the Services or other users. Upon termination, your right to use the Services ends and, subject to the retention obligations in our Privacy Policy, we will delete or return Your Content on request.
15. Changes to the Services or these Terms
We may modify the Services or these Terms from time to time. Material changes will be communicated in advance where practicable (for example, in-app or by email to administrators). Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Services, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
17. Miscellaneous
These Terms, together with the Privacy Policy and any order form referencing them, constitute the entire agreement between you and MeasureIQ regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
